1. Who these terms cover
These Terms of Use govern your use of rhythmandbrands.com and everything offered through it, including the Music Business Academy, its workshops, its templates and its community. In these terms, “Rhythm & Brands”, “we”, “us” and “our” mean Rhythm & Brands. “You” means the person using the site or holding an account.
By using the site or creating an account you accept these terms. If you do not accept them, please do not use the site.
2. Who may use the site
You must be 18 or older to create an account or buy anything on this site. Applications for artist management are open to people who are 25 or older, as stated on the Artist Management page. You are responsible for everything that happens under your account, so keep your password to yourself and tell us promptly if you think someone else has it.
3. The Music Business Academy
An Academy membership gives you access to the workshops, templates and community described on the Music Business Academy page for as long as your membership is active. Individual workshops may also be bought one at a time. What is included is what is listed on that page at the time you buy.
We may add, change or retire workshops and templates over time. If we retire something you have already bought outright, we will tell you before we do it and give you a reasonable window to download it.
4. Payment, renewal and cancellation
Prices are shown at checkout in US dollars and you authorize us to charge the payment method you provide. Memberships renew automatically at the end of each term, monthly or annual, at the price then in effect, until you cancel. We will tell you before any price change affecting your renewal.
You may cancel at any time from your account. Cancelling stops future billing. Your access continues until the end of the term you have already paid for. What is and is not refundable is set out in our Refund and Cancellation Policy, which forms part of these terms.
5. What we own
The workshops, templates, worksheets, written material, images, layout and the Rhythm & Brands name and marks are our property or used by us with permission. Buying a workshop or holding a membership buys you access, not ownership.
6. What you may do with the templates
You may use our templates for your own career or your own business, including commercially. You may fill them in, adapt them and keep your filled in copies after your membership ends.
You may not resell, license, publish, share or redistribute the templates or workshop material, in whole or in part, whether free or paid. You may not use them to build a competing course, coaching program or template library. You may not share your account or your access with anyone else.
7. What you may not do
Do not record, copy, scrape or republish the workshops. Do not upload anything unlawful, misleading or that infringes someone else’s rights. Do not attempt to break, probe or overload the site. Do not use the community to solicit members or to promote unrelated products. We may suspend or close an account that does any of this.
8. Artist management is separate
Nothing on this site is an offer of representation. Sending an application, buying a workshop or holding a membership does not make us your manager and creates no management relationship. Artist management is provided only under a signed management agreement, and the terms of that agreement, not these terms, govern that relationship.
9. What we do not do
We do not provide music distribution of any kind. We do not provide legal, tax, accounting or financial advice, and nothing in the workshops or templates is a substitute for advice from your own professional advisors. Where a workshop discusses registration, royalties, contracts or business structure, it is education, not advice about your particular situation.
10. No guarantee of results
The Academy teaches how the business works. It does not promise placements, deals, revenue, streams, opportunities or any other outcome, and no one acting for us is authorized to promise one. What you get out of it depends on your own work and on circumstances outside our control.
11. Third party services
The site relies on third party services for payments, email, hosting and analytics, and it links to sites we do not run. We are not responsible for the content or practices of those sites, and your use of them is governed by their own terms.
12. Disclaimers
The site and everything on it is provided as is and as available. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non infringement. We do not warrant that the site will be uninterrupted, timely, secure or error free.
13. Limitation of liability
To the fullest extent the law allows, Rhythm & Brands and its owners, employees and contractors are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data or lost opportunities, arising out of your use of the site or the Academy. Our total liability for any claim relating to the site or the Academy will not exceed the amount you paid us in the twelve months before the claim arose.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
14. Indemnity
You agree to indemnify and hold us harmless from claims, losses and reasonable legal costs arising from your use of the site, your content, or your breach of these terms.
15. Ending your access
You may close your account at any time. We may suspend or close an account that breaches these terms, or stop offering the site or the Academy, and we will give reasonable notice where we can. Sections 5, 6, 12, 13, 14 and 16 survive the end of your account.
16. Governing law and disputes
These terms are governed by the laws of the State of California, without regard to its conflict of laws rules. Any dispute will be brought in the state or federal courts located in Los Angeles County, California, and you and we both consent to that jurisdiction.
17. Changes
We may update these terms. When we do, we will change the effective date at the top and, for material changes, tell account holders by email or by a notice on the site before the change takes effect. Continuing to use the site after that means you accept the updated terms.
